Preamble & Acceptance

Welcome to Duke Music, an online digital music store operated by Arahastores Havuna Enterprises Ltd. (“Arahastores Havuna Ent. Ltd”, "the Company," "we," "us," or "our"), accessible at dukemusic.net (the "Platform" or "Website"). These Terms and Conditions ("Terms," "Agreement," or "T&C") constitute a legally binding agreement between you ("User," "Customer," you," or "your") and the Company governing your access to and use of the Platform and all services, products, content, and features made available therein.

BY ACCESSING, BROWSING, REGISTERING ON, OR MAKING ANY PURCHASE THROUGH DUKEMUSIC.NET, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM AND ALL ASSOCIATED SERVICES.

These Terms apply to all visitors, registered users, purchasers, and any other persons who interact with the Platform in any capacity. The Duke Music website accessible at dukemusic.net, including all subdomains, mobile versions, applications, and APIs.
Company
Arahastores Havuna Enterprises Ltd, the registered legal entity that owns and operates Duke Music, incorporated in Nigeria.
Content
All music tracks, audio files, albums, lyrics, artwork, and metadata available on the Platform.
AI-Generated Music
Musical works created in whole or in part through artificial intelligence tools with valid commercial licensing.
Digital Download
An electronic file containing a music track or album delivered to the User upon successful purchase.
Paystack
The third-party payment processing service used by the Company to process financial transactions.

2. Company Information & Jurisdiction

2.1 Legal Entity: Duke Music is a trading name owned and operated by Arahastores Havuna Enterprises Ltd., a company registered and domiciled in the Federal Republic of Nigeria.

2.2 Governing Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Nigerian Copyright Act and the Nigeria Data Protection Act 2023.

2.3 Global Market Operations: Users in jurisdictions outside Nigeria agree to submit to the exclusive jurisdiction of Nigerian courts for all disputes arising under these Terms.

3. Eligibility & User Accounts

3.1 Age Requirement: The Platform is available only to individuals who are at least eighteen (18) years of age.

3.3 Account Registration: You agree to provide accurate, current, and complete information during registration and to update such information promptly.

3.5 Suspension & Termination: The Company reserves the right to suspend or permanently terminate any User account at its sole discretion for violations of these Terms.

4. Products, Services & Content

4.1 Current Product Offering: Duke Music offers digital music tracks for purchase, including music generated using artificial intelligence technologies.

Notice on AI Content & Media

Users acknowledge that certain content may be created using AI. The Company makes no warranties as to the classification or attribution of any content regarding its method of creation.

Some music, artwork, or media on this platform may contain AI-generated, AI-assisted, or digitally enhanced elements.

4.3 Future Products: The Company reserves the right to expand into human artist licensing, full record label operations, and sync licensing.

5. Licensing & Intellectual Property

5.1 Company's Rights: The Duke Music brand, logo, and website design are the exclusive intellectual property of Arahastores Havuna Ent. Ltd.

5.3 License Granted to Users: Upon purchase, the Company grants a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use.

Strictly Prohibited Uses
  • Uploading purchased tracks to Streaming Platforms (Spotify, Apple Music, etc.)
  • Claiming authorship or sole ownership of purchased tracks
  • Reselling or redistributing tracks to third parties
  • Removing or altering embedded metadata or watermarks

6. Pricing, Payment & Billing

6.2 Payment Processing: Transactions are processed through authorized providers including Paystack, PayPal, and OPay.

6.4 Currency: For international transactions, currency conversion is performed by the relevant Payment Provider or your financial institution.

6.7 Fraud Prevention: We reserve the right to suspend access pending resolution of payment disputes or suspected fraud.

7. Refund & Return Policy

ALL SALES OF DIGITAL MUSIC DOWNLOADS ARE FINAL AND NON-REFUNDABLE.

Exceptions may be considered for duplicate charges due to technical errors or if the content delivered was materially different from the description.

8. Digital Delivery

Purchased files will be made available for download via the Platform or delivered to your registered email address immediately after payment confirmation.

Once downloaded, the User is solely responsible for maintaining, backing up, and securing their purchased files.

9. User Conduct

Users agree not to engage in illegal activities, infringe on IP rights, or attempt to gain unauthorized access to the Platform's backend systems. Violations will result in immediate account termination.

10. Privacy & Data Protection

We process personal data in compliance with the Nigeria Data Protection Act 2023 (NDPA). We implement commercially reasonable security measures to protect User data against unauthorized access.

11. Hosting & Availability

The Platform is hosted on third-party infrastructure. We do not guarantee uninterrupted access and are not liable for downtime caused by hosting providers.

12. Disclaimers & Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND.

The Company's total aggregate liability shall not exceed the total amount paid by the User in the preceding twelve (12) months.

13. Platform Protection

The Company reserves the right to remove content or suspend User access at its sole discretion to protect the integrity and reputation of the Platform.

14. Indemnification

You agree to defend and indemnify Arahastores Havuna Ent. Ltd. against all claims arising from your use of the Platform or violation of these Terms.

15. Modifications

The Company reserves the right to amend these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

17. Dispute Resolution

Disputes shall be governed by the laws of Nigeria. Parties agree to attempt informal resolution before proceeding to binding arbitration in Lagos, Nigeria.

Class Action Waiver

YOU IRREVOCABLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT AGAINST THE COMPANY.

19. Children's Privacy

The Platform is not intended for children under thirteen (13). We do not knowingly collect data from children under this age threshold.
